Service terms
1. The agreement
A binding project starts when you accept our written proposal and pay any required initial invoice. The proposal takes priority over these terms if they conflict.
2. Scope
The proposal defines deliverables, pages, refinement rounds and price. Work outside that description is out of scope.
3. Client responsibilities
You supply accurate content, feedback and access, and you are responsible for checking facts, legal statements and final content. You must have permission to use the materials you supply.
4. Timings
Dates depend on your timely input. Unless stated as guaranteed, they are targets, not strict deadlines. Projects may be paused if material is more than 10 working days late.
5. Fees
Invoices are generally due within 14 days. Third-party costs such as domains and licences are separate unless included.
6. Refinements and approval
Refinements adjust the agreed direction but do not add new pages or features. Changes after final approval are quoted separately.
7. Changes
Material additional work requires written agreement on price and timing.
8. Third-party services
Providers such as hosts and registrars are governed by their own terms.
9. Intellectual property
You keep your own materials. After all invoices are paid, we assign copyright in the final bespoke design, specific written content and project-specific code. We keep our pre-existing tools and know-how, and you receive a licence to use included elements.
10. Portfolio and confidentiality
We may name launched sites as our work and link to public pages unless confidentiality is agreed. We will ask before publishing detailed case studies.
11. Testing and support
Testing covers current major browsers. Faults reported within 14 days of launch are corrected if they are reproducible and not caused by client, third-party or misuse issues.
12. Care plans
Plans run monthly, unused time does not roll over, and either party can end a plan with 30 days’ written notice.
13. Cancellation
Either party may end a project for serious unremedied breach. The client pays for completed work and reasonable non-cancellable commitments.
14. Results and liability
We give no guarantees of rankings, traffic or sales. Liability is generally capped at fees paid or payable for the project in the prior 12 months, with exceptions for fraud, death or personal injury caused by negligence, and anything that cannot lawfully be limited.
15. Events outside our control
Delays caused by events beyond reasonable control are excused if communicated promptly.
16. Disputes
We will first try to resolve issues directly. English and Welsh law governs, subject to mandatory consumer rights.
17. Contact and updates
Questions go to hello@thewebcartel.co.uk. Updates do not change existing accepted agreements unless both parties agree.
